Committed strip · UK dental buy-and-build · 2027–2031

A protected route into the consolidation of UK dentistry.

Hutton Dental Group is assembling a group of profitable, mixed NHS and private dental practices across affluent Southern England. Investors participate through a committed strip of loan notes and ordinary shares: capital and the rolled-up coupon are repaid first if the platform underperforms, with ordinary shares that participate in the value created if it succeeds.

For investment professionals and qualifying investors only. Capital at risk.

The opportunity

A large, fragmented market in consolidation.

UK dentistry remains overwhelmingly independent, and consolidation is well established: larger groups have already proven the model, and considerable headroom remains.

i.

Multiple arbitrage

Individual practices are acquired at the entry multiples paid for single practices. At exit, an established group commands a materially higher multiple. That difference is the principal driver of investor returns.

ii.

Resilient demand

Dentistry is essential, recurring healthcare. Mixed NHS and private revenue in affluent catchments produces dependable cashflow through the economic cycle.

iii.

Experienced sponsor

The platform is founder-led, with more than seventeen years’ experience across private equity, healthcare strategy and dental transactions, including advisory work at the most senior levels.

The structure

A committed strip that protects capital first.

Loan notes give investors seniority over all ordinary equity if the platform underperforms, while ordinary shares provide full participation in the upside.

Downside

Capital protected first

If the platform underperforms, principal and the accrued coupon on the loan notes rank ahead of all ordinary equity, including the founder’s, in the waterfall.

LOAN NOTES · PAID FIRST
Upside

Equity from first close

Investors also hold ordinary shares from first close and share in the value created across the group at exit.

ORDINARY SHARES · UPSIDE
Capital-light

A coupon that compounds

Committed capital is drawn only as it is needed, and the coupon is paid in kind, compounding from each drawdown rather than being paid in cash during the build period.

Efficiency

Cashflow recycling

From Year 2, operating cash from acquired practices funds later acquisitions, reducing the capital drawn from investors across the programme.

The coupon, equity terms, full waterfall mechanics and the underlying Financial Model are set out in the Investment Memorandum, available to qualifying investors on request.

The platform

How we build the group.

Hutton Dental Group acquires a majority interest in each practice. The selling principal retains a minority stake and continues in clinical leadership as Clinical Director and CQC Registered Manager, keeping experienced clinicians invested in the performance of their practice.

For principals planning their next step.

For owners considering a sale, our model offers a way to realise value now while retaining an ownership stake and a continuing clinical role.

Hutton Dental Group acquires a majority interest; the principal retains a minority share and continues to lead clinically. The specifics — valuation and the ongoing arrangement — are agreed individually with each principal, in confidence and without obligation.

Led by people who have built and advised healthcare businesses.

Hutton Dental Group applies institutional discipline to independent dentistry.

Our team draws on more than seventeen years in private equity, healthcare strategy and transaction structuring, including direct work in the dental sector and healthcare advisory at the most senior levels.
